GEMINI Laboratory GLOBAL AWARD Entry Agreement

Entry Terms and Conditions / BUSINESS ALLIANCE

These Terms set forth the matters related to the GEMINI Laboratory GLOBAL DESIGN AWARDS 2024 (hereinafter the “Project”) commissioned by the Living & Industrial Division of TOPPAN Inc. (hereinafter the “Organizer”), and implemented by Loftwork Inc. (hereinafter the “Entrusted Party” and collectively referred to along with the Organizer as the “Project Stakeholders”).

All persons who wish to enter into the Project (hereinafter “Entrants”) are required to read these Terms before doing so. By submitting their work (hereinafter “Entry”) to the Entrusted Party and entering into the Project, Entrants shall be deemed to have agreed to the content of these Terms.


1. Entry Method

(1) The Project solicits Entrants online using the online system of AWRD, an award platform operated by the Entrusted Party. Entrants are required to register for an AWRD account to enter into the Project (please refer to the Terms of Service of AWRD).
(2) Entrants are required to enter into the Project by complying with the entry method set forth in the entry guidelines for the Project. The Organizer reserves the right to reject the submission of any Entry that fails to comply with the entry method set forth in the entry guidelines.

2. Entries

(1) All Entries must be works created by the Entrants themselves and must not have been previously published or released.

(2) Entrants shall represent and warrant that their Entries do not infringe and are unlikely to infringe upon a third party’s rights, including intellectual property rights.

(3) If an Entry contains materials (including but not limited to art, photographs, fonts, etc.) created by a third party other than the Entrant, the Entrant shall, at their own expense and responsibility, obtain the permission of the third party in question or otherwise undertake the necessary handling of rights prior to entering into the Project.

(4) The Organizer reserves the right to disqualify any Entry if it is determined that the Entry in question infringes or may infringe upon a third party’s rights.

(5) In the event that a third party makes a claim of infringement of rights or the like against the Project Stakeholders with respect to an Entry, the Entrant shall defend and indemnify the Project Stakeholders at the Entrant’s own expense and responsibility. In addition, in the event that the Entry claimed to have infringed upon the rights of the third party is an award-winning work, the Organizer reserves the right to revoke its selection as an award-winning work.

(6) In the event that the Project Stakeholders incur any damages or costs as a result of claims of infringement of rights made by a third party, the Entrant shall fully compensate the Project Stakeholders, regardless of the reasons involved.

3. Rights to Entries

(1) Unless otherwise stipulated in these Terms or a separate agreement, Entrants shall retain the copyrights associated with their Entries and shall not be prevented from using their Entries in any way that is not in violation of these Terms. However, award-winning works shall be subject to the provisions of “5. Rights to Award-Winning Works.”

(2) Entrants shall grant permission to the Project Stakeholders to use their Entries free of charge in the following situations:

(i) when the Entry is used by the Project Stakeholders for the purpose of organizing the Project;

(ii) when the Entry is used by the Organizer for the purpose of advertising the Organizer’s business; and

(iii) when the Entry is used by the Organizer in products and services offered by the Organizer, such as AltField.

(3) The Organizer may, upon consultation with the Entrant, use their Entry for purposes and in ways besides those set forth in the preceding paragraph, with the specific terms and conditions to be separately agreed upon through consultation between the two parties.

4. Award-Winning Works

(1) The Organizer will judge the Entries, select the award-winning works (hereinafter “Award-Winning Works”) for the Project at its own discretion, and announce them in an appropriate manner.

(2) The Organizer reserves the right to disqualify from consideration any work that fails to comply with the entry method and specifications set forth in the entry guidelines. In addition, in the event that an Entry is determined to have been ineligible for consideration after it has been selected as an Award-Winning Work, the Organizer reserves the right to revoke its selection as an Award-Winning Work.

(3) The Organizer may decide that there are no Award-Winning Works in the event that it deems no Entry deserving of the award after judging the Entries.

(4) The Project Stakeholders shall assume no responsibility for the results of the judging and are under no obligation to respond to any inquiries from Entrants regarding the status or results of the judging.

5. Rights to Award-Winning Works

(1) Entrants of Award-Winning Works who receive an award from the Project (hereinafter “Award Winners”) shall grant all rights (including but not limited to the rights stipulated in Articles 27 and 28 of the Copyright Act) associated with the Award-Winning Work (including drafts, blueprints, prototypes, and all other works and data related to the creation of the Award-Winning Work) to the Organizer in exchange for payment of the prize money determined by the Organizer.

(2) Award Winners shall neither exercise nor allow any third party to exercise moral rights with respect to their Award-Winning Work.

6. Business and Technical Information

Entrants shall not use any business or technical information of the Project Stakeholders obtained through entering into the Project for purposes other than to participate in the Project without the prior consent of the Project Stakeholders.

7. Handling of Personal Information

The Project Stakeholders shall handle the personal information of Entrants within the scope necessary to achieve the following purposes in accordance with the Act on the Protection of Personal Information (including related government ordinances, regulations, and guidelines; hereinafter “Act on the Protection of Personal Information”):

(i) inquiries from the Project Stakeholders;

(ii) notification of judging results from the Project Stakeholders to Entrants;

(iii) notification of Entrants and Entries from the Entrusted Party to the Organizer;

(iv) usage of Award-Winning Works by the Project Stakeholders;

(v) sharing information about the Project by the Project Stakeholders with Entrants;

(vi) publication of the results of the Project; and

(vii) all other matters reasonably related to (i) through (vi) (including cases where personal information is provided to third parties).

In addition, questions regarding the handling of personal information should be directed to the Project Stakeholders via messages sent to the Entrusted Party.

8. Important Notes

8-1. Prohibited Actions

Entrants shall not engage in any of the following acts:

(i) acts that violate these Terms;

(ii) acts that infringe or may infringe upon the rights, including intellectual property rights, of third parties;

(iii) acts that inflict physical or psychological damage on third parties;

(iv) acts that harm the reputation of third parties;

(v) acts that violate laws and regulations;

(vi) acts that violate public order and standards of decency; and

(vii) all other acts equivalent to (i) through (vi).

(2) In the event that the Organizer determines that an Entrant has violated or may have violated the provision on prohibited actions, or if the Organizer determines that an Entrant is a member of an organized crime group, corporate racketeer, or other anti-social force (i.e., a group or individual that uses violence, force, or fraudulent means in pursuit of economic gain), or a person equivalent thereto, the Organizer reserves the right to disqualify the Entrant’s Entry and revoke their participation in the Project.

8-2. Disclaimers

(1) In the event that an Entrant incurs expenses or damages in relation to the Project, such expenses or damages shall be borne by the Entrant, and the Project Stakeholders shall bear no responsibility whatsoever.

(2) In the event that an Entrant violates any of the provisions of these Terms and causes the Project Stakeholders to incur damages, losses, or expenses, the Entrant shall fully compensate for these damages, losses, or expenses.

9. Other Matters

(1) The Organizer and the Entrusted Party reserve the right to modify the content of these Terms at any time through an announcement on this website or via email or other appropriate means of notification. Entrants shall be deemed to have agreed to the latest version of these Terms at the time of logging in.

(2) Any matters not provided for in these Terms shall be determined at the discretion of the Project Stakeholders.
