WOULD CHANGE AWARD Entry Agreement

This Agreement sets forth the terms governing this Project, which is organized by Loftwork Inc. (hereinafter, "the Organizer").

Individuals who intend to submit an idea for this Project (hereinafter, "Applicants") are required to read the terms of this Agreement carefully before submitting their entry. By submitting an idea (hereinafter, "Submitted Entry") to the Organizer as an entry for this Project, Applicants would be deemed to have agreed to the terms of this Agreement.

1. Submission Method

(1) This Project utilizes the online system of "AWRD," an award system operated by the Organizer, to facilitate the online submissions of Applicants. Applicants are required to register for an AWRD account to submit their entry for this Project. (Please review the Terms of Service of AWRD.)

(2) Applicants are required to submit their entry for this Project via the submission method set forth in the guidelines of this Project. The Organizer reserves the right to reject any Submitted Entry it receives that does not adhere to the submission method set forth in the guidelines of this Project.

2. Submitted Entries

(1) All Submitted Entries must be created by the Applicant himself/herself and must not have been commercialized as of the end of February 2021. All ideas that have not been commercialized but are published on one's personal portfolio website, etc., are eligible for submission. In addition, regarding intangible online services and activities, all services that are in their planning phase or pre-launch phase are eligible for submission as long as they have not been implemented or executed as of the end of February 2021.

(2) Applicants are required to represent and warrant that their Submitted Entry does not infringe or risk infringing the rights of third parties, including intellectual property rights.

(3) In the event that the Submitted Entry contains content (including, but not limited to, art, photographs, fonts, etc.) created by a third party other than the Applicant himself/herself, the Applicant shall be required to obtain the prior permission of the third party in question and handle all rights-related matters accordingly at his/her own expense and on his/her own responsibility.

(4) In the event that the Organizer determines that a Submitted Entry infringes or risks infringing the rights of a third party, the Organizer reserves the right to exclude the Submitted Entry in question from consideration.

(5) In the event that a third party files a claim against an Applicant regarding an alleged infringement of rights associated with the Submitted Entry, the Applicant shall be required to resolve the matter at his/her own expense and on his/her own responsibility. The Organizer shall bear no liability in this regard.

(6) In the event that the Organizer compensates for the damages incurred by a third party or incurs expenses as a result of a claim filed by the third party regarding an infringement of rights by an Applicant, the Applicant shall be required to compensate the Organizer in full regardless of the circumstances involved.

3. Rights Associated with Submitted Entries

(1) Unless otherwise stipulated in this Agreement or other agreements, Applicants shall retain the rights associated with their Submitted Entry, including intellectual property rights, and shall be allowed to continue using the Submitted Entry as long as the terms of this Agreement are not violated.

(2) Applicants shall agree to the following uses of their Submitted Entry free of charge.

① When the Organizer uses the Submitted Entry for advertising purposes (including for the promotion of this Project), exhibitions, etc.

② When the Japan Federation of Wood-Industry Associations or the Forestry Agency, Ministry of Agriculture, Forestry and Fisheries, Japan uses the Submitted Entry for advertising purposes, exhibitions, etc., in relation to this Project or other initiatives concerning the expanded utilization of wood.

(3) The Organizer, the Japan Federation of Wood-Industry Associations, and the Forestry Agency, Ministry of Agriculture, Forestry and Fisheries, Japan reserve the right to use the Submitted Entry for purposes other than those specified in the preceding Paragraph upon consultation with the Applicant. In such cases, the specific conditions shall be separately agreed on upon mutual consultation.

4. Winning Entries

(1) The Organizer shall review all Submitted Entries and select the winning entries for this Project (hereinafter, "Winning Entries") at its own discretion and announce them using an appropriate method.

(2) The Organizer reserves the right to exclude from consideration any entry that does not comply with the submission requirements or submission method set forth in the guidelines. In addition, even after an entry has been selected as a Winning Entry, the Organizer reserves the right to retract its selection as a Winning Entry in the event that the entry in question is deemed to be ineligible for consideration.

(3) The Organizer may determine that there is "no winning entry" in the absence of any Submitted Entry that is deserving of the award at the end of the review process.

(4) The Organizer shall bear no obligation whatsoever to respond to any enquiries from Applicants regarding the process or results of the review.

(5) The Applicants of Winning Entries (hereinafter, "Winners") shall agree to the following uses of their entry free of charge.

① When the Organizer uses the Winning Entry for advertising purposes (including for the promotion of this Project), exhibitions, etc.

② When the Japan Federation of Wood-Industry Associations or the Forestry Agency, Ministry of Agriculture, Forestry and Fisheries, Japan uses the Winning Entry for advertising purposes, exhibitions, etc., in relation to this Project or other initiatives concerning the expanded utilization of wood.

(6) The Organizer, the Japan Federation of Wood-Industry Associations, and the Forestry Agency, Ministry of Agriculture, Forestry and Fisheries, Japan reserve the right to use the Winning Entry for purposes other than those specified in the preceding Paragraph upon consultation with the Winner. In such cases, the specific conditions shall be separately agreed on upon mutual consultation.

(7) The Winning Entries will be exhibited at the end of the review process. Due to the limited exhibition space, all overseas entries will be displayed on panels or in the form of videos, and only the entries in Japan with physical dimensions smaller than 2800mm (width) × 2800mm (depth) × 2900mm (height) will be displayed on site. (In general, all entries smaller than 200cm in all directions and which weigh less than 30kg in total may be displayed. However, due to restrictions on the size/quantity of items that can be displayed, the Organizer will make a final decision on whether an entry will be displayed at the end of the review process, and entries may be displayed in the form of images or videos broadcasted on tablet devices depending on their content. All entries that exceed the maximum allowable dimensions will be displayed on panels or in the form of videos.)

In addition, although all necessary precautions will be taken during the management and transportation of entries, the Organizer shall bear no liability whatsoever in the event that an entry is damaged or lost as a result of natural disasters or other unexpected accidents.

5. Commercial and Technical Information

Applicants shall not use any commercial or technical information related to the Organizer that they have acquired in the course of participating in this Project for purposes other than their participation in this Project without the prior permission of the Organizer.

6. Handling of Personal Information

The Organizer shall handle the personal information of Applicants in accordance with the provisions of the "Act on the Protection of Personal Information" (including all related cabinet orders, regulations, and guidelines; hereinafter, "Act on the Protection of Personal Information"), and use it within the scope necessary for the following purposes, except in cases where the prior permission of the Applicant in question has been otherwise obtained.

① For the Organizer to contact Applicants regarding an enquiry

② For the Organizer to inform Applicants on the results of the review

③ For the Organizer to provide project information to Applicants

④ For other matters reasonably related to Items ① to ③ (this also applies to cases where personal information is provided to third parties)

7. Other Important Notes

7-1. Prohibited Items

(1) Applicants are prohibited from carrying out the following actions.

① Any action that violates the terms of this Agreement

② Any action that infringes or risks infringing the rights of a third party, including intellectual property rights

③ Any action that inflicts physical or psychological harm on a third party

④ Any action that is injurious to the reputation of a third party

⑤ Any action that violates the law

⑥ Any action that violates public order and morals

⑦ Any other action that is equivalent to Items ① to ⑥

(2) The Organizer reserves the right to exclude an Applicant's Submitted Work from consideration and revoke the Applicant's right to participate in this Project in the event that the Applicant is deemed to have violated or be at risk of violating the restrictions stipulated under "Prohibited Items," or if the Applicant is determined to be an individual who is part of an organized crime syndicate, corporate racketeering organization, or other anti-social forces (i.e., organizations or persons that pursue economic gains through the use of violence, authority, or deceit), or a person who is equivalent to any such individuals.

7-2. Disclaimers

(1) In the event that Applicants incur any damages during the transportation or exhibition of their entry after it has been recognized as a Winning Entry of this Project, these damages shall be borne by the Applicant himself/herself and the Organizer shall bear no liability in this regard.

(2) In the event that an Applicant violates the terms of this Agreement and results in the Organizer incurring damages, losses, or expenses, the Applicant shall compensate for these damages, losses, or expenses in full.

8. Others

(1) The Organizer reserves the right to amend the terms of this Agreement at any time by announcing them using an appropriate method such as email. Applicants will be deemed to have agreed to the latest terms of this Agreement at the point in time of their subsequent login.

(2) All matters not stipulated in this Agreement shall be determined at the discretion of the Organizer.
